BDA & Opensea's Terms & Conditions

Terms and Conditions of BDA NFT Company  Last Updated: [03/02/2023]  These Terms and Conditions ("Agreement") constitute a legally binding agreement between you ("User" o r "You") and BDA NFT Company ("BDA NFT," "We," or "Us"). By accessing or using the services provide d by BDA NFT, including but not limited to the purchase, sale, or ownership of non-fungible tokens ("NFTs "), you agree to be bound by this Agreement. If you do not agree with any provision of this Agreement, yo u must refrain from using our services.  Account Registration and Use
1.1 Eligibility: By using our services, you represent and warrant that you are at least 18 years old or of leg al age in your jurisdiction to enter into a binding agreement. You must provide accurate and complete info rmation during the registration process, and you agree to update such information promptly if there are an y changes.  
1.2 Account Security: You are solely responsible for maintaining the security of your account credentials. You agree to keep your password and any other login information confidential and not to share it with any third party. You are responsible for all activities that occur under your account.  
1.3 Prohibited Use: You shall not use our services for any unlawful or unauthorized purpose, including but not limited to engaging in any fraudulent activity, violating any applicable laws or regulations, or infringing upon the rights of any third party.  NFT Purchases and Sales 2.1 Ownership: BDA NFT facilitates the purchase and sale of NFTs, but it does not own the NFTs listed o n its platform. Ownership of NFTs is governed by the blockchain technology underlying the NFTs, and Opensea does not transfer ownership or title of NFTs.  
2.2 Transaction Fees: Opensea may charge transaction fees for purchases, sales, or any other transactions conducted on its platform. These fees will be clearly communicated to you before the completion of any transaction.  
2.3 Prohibited Content: You are prohibited from listing or promoting any NFTs that contain or promote illegal, offensive, or inappropriate content, including but not limited to content that infringes upon intellectual property rights, defames individuals, or incites violence.  Intellectual Property
3.1 BDA NFT’s Intellectual Property: All intellectual property rights related to BDA/ Opensea website, platform , and services, including but not limited to trademarks, logos, and copyrights, are the exclusive property of BDA/ Opensea. You agree not to use, reproduce, or distribute any BDA NFT intellectual property without prior written permission.  
3.2 User’s Intellectual Property: You represent and warrant that you own or have the necessary rights to a ny intellectual property associated with the NFTs you list or promote on the Opensea platform. You grant Opensea  a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your intellectual property solely for the purpose of providing the services.  Limitation of Liability
4.1 Disclaimer: Opensea provides its services on an "as is" and "as available" basis. We do not warrant that our services will be uninterrupted, error-free, or free from viruses or other harmful components. You u se our services at your own risk.  
4.2 Indemnification: You agree to indemnify, defend, and hold harmless BDA/ Opensea and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your use of the services or any breach of this Agreement.  
4.3 Limitation of Liability: In no event shall BDA/ Opensea be liable to you or any third party for any indirect, incidental, consequential, or punitive damages arising out of or in connection with this Agreement or the use of our services, even if advised of the possibility of such damages.  Modifications and Termination
5.1 Amendments: BDA/ Opensea reserves the right to modify or update this Agreement at any time, and such modifications shall become effective upon posting on the BDA NFT website. It is your responsibility to review this Agreement periodically for any changes.  
5.2 Termination: Opensea may terminate or suspend your access to the services, in whole or in part, for any reason, at any time, without notice. Upon termination, you shall no longer have access to your account, and any NFTs associated with your account may be rendered inaccessible or transferred to another address.  Governing Law and Dispute Resolution
6.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles.  
6.2 Dispute Resolution: Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of [Arbitration Institution], held in [Juri sdiction]. The decision of the arbitrator shall be final and binding on all parties.  Miscellaneous
7.1 Entire Agreement: This Agreement constitutes the entire agreement between you and BDA/ Opensea regarding the subject matter herein and supersedes all prior or contemporaneous communications, whether or al or written.  
7.2 Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.  
7.3 Waiver: The failure of BDA to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.  8. All remodeled arts/ replica nfts that was made by BDA company should be payed for {Copyright fees for the artist/ OC}, evidence should be provided directly to the Company before payment.   By using BDA NFT’s services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you should refrain from using our services.
